Les groupes français Nexter et allemand Krauss-Maffei-Wegmann (KMW) sont entrés mardi en négociations exclusives, premier acte d'un rapprochement qui ferait de la future coentreprise le leader de l'armement terrestre européen en terme de chiffre d'affaires, dans un marché de plus en plus concurrentiel.

Véritable serpent de mer, cette décision a été actée par la signature à Paris d'un accord entre les deux entreprises et l'agence française des participations de l'Etat, a-t-on appris auprès du ministère français de la Défense.

Nexter, fabricant du char Leclerc, est détenu à 100% par l'Etat. Côté allemand, l'entreprise KMW, qui fabrique les chars Leopard, est détenue à 100% par la famille Bode-Wegmann.

A l'issue du rapprochement, la nouvelle structure baptisée Kant (pour "KMW and Nexter together") sera détenue à 50% par l'Etat français et à 50% par la famille Bode-Wegmann et fera l'objet d'une coprésidence franco-allemande du directoire jusqu'à la fusion qui interviendrait dans trois à quatre ans.

Les deux sociétés ont confirmé leur projet de fusion dans un communiqué commun diffusé de Francfort.

L'Etat français conservera une action spécifique pour protéger les activités stratégiques, comme les systèmes d'armes et les activités munitionnaires.

"Cette signature ouvre une phase de discussions entre les deux entreprises visant à réaliser l'opération de rapprochement à proprement parler", explique-t-on dans l'entourage du ministre Français de la Défense, Jean-Yves Le Drian, en évoquant des "fiançailles".

Cette phase durera environ neuf mois et aboutira à la création de la "joint-venture" au début du deuxième trimestre 2015, vers le mois d'avril, précise-t-on.

D'ici là, une loi devra ajouter Nexter à la liste des sociétés qui peuvent être privatisées et l'opération devra recevoir le feu vert de la Commission européenne.

"On a la certitude qu'il n'y aura pas de blocage de la Commission du fait d'une position dominante de ce nouvel acteur", dit-on à Paris. "Il y a plein d'acteurs en Europe, ce qui fait qu'on ne se retrouve pas avec un monopole.

FORTE CONCURRENCE

L'enjeu est de taille à l'heure où le marché de l'armement terrestre est de plus en plus concurrentiel, avec l'arrivée de nouveaux acteurs, et où la défense fait l'objet de coupes budgétaires dans de nombreux pays européens.

"Chaque pays a encore son industrie terrestre mais là on arrive à une réduction telle des budgets de défense qu'il n'y a plus assez pour chacun des marchés nationaux", souligne-t-on au ministère.

La mise en commun des savoir-faire des deux fabricants de blindés devrait donc se traduire par des "gains financiers pour les deux et des gains de chiffres d'affaires à assez court terme sans faire de destructions d'emplois", fait-on valoir.

Concurrents directs, Nexter et KMW sont sensiblement similaires tant en taille (2.800 personnes côté français, 3.000 côté allemand) qu'en chiffres d'affaires (787 millions d'euros pour Nexter et un milliard d'euros pour KMW fin 2013).

Le groupe français affichait un résultat net de 74 millions d'euros contre 88 millions d'euros pour le groupe allemand.

Seule différence significative entre les deux entreprises, le volume des carnets de commande avec quatre milliards d'euros pour KMW et deux milliards d'euros pour Nexter (hors programme Scorpion de modernisation de l'armée de terre française).

"Aujourd'hui la fusion de ces deux entités va créer le leader européen de l'armement terrestre" avec un chiffre d'affaires compris entre 1,8 et deux milliards d'euros, indique-on à Paris, devant le groupe britannique BAE et l'américain General Dynamics, dont les CA réalisés en Europe sont respectivement de l'ordre de 1,5 milliard d'euros et de un milliard.

EXPORT

Reste à savoir dans quelle mesure le rapprochement se traduira par des doublons susceptibles d'entraîner des suppressions d'emplois, une perspective écartée à court et moyen terme par Paris, qui voit dans la fusion l'occasion de renforcer l'industrie européenne de la défense.

"La société Nexter telle qu'elle est aujourd'hui n'a pas une viabilité assurée, au moindre à coup budgétaire elle est très vite fragilisée pour une raison simple : l'armement terrestre, qui est de plus en plus concurrentiel et commercial, n'est pas un secteur de souveraineté", dit-on. "Pour être un acteur qui compte sur le paysage européen et mondial il faut avoir une taille critique".

Au sein de la nouvelle entité, Nexter pourra bénéficier du réseau commercial d'exportation très solide de KMW.

L'entreprise allemande pourra de son côté profiter de la modernisation des véhicules blindés de combat français avec l'arrivée des véhicules blindés multi-rôles (VBMR) prévue dans le cadre du programme Scorpion et pourra désormais se fournir en tourelles et canons au sein de son propre groupe via la technologie de Nexter, et éviter ainsi de faire appel à son concurrent allemand Rheinmetall.

Le rapprochement Nexter-KMW, qui progressivement cédera la place à une fusion avec un seul PDG d'ici 3 ou 4 ans, n'aura aucun impact sur les contrats en cours, selon l'entourage de Jean-Yves Le Drian.

For the intended unification of the two companies, the current sole owners intend to contribute their shares into a new ly incorporated joint holding company. They will each receive 50 percent of the shares of this holding company, which will become the sole shareholder in KMW and Nexter.

The governance of the holding company will take into account the balance between the two shareholders, who will be reference investors in the new combined group with a long term industrial perspective. The target date for the alliance is early 2015. In the meantime, the two future partners will both be subject to a process of due diligence. The alliance project will be subject to legal and customary regulation approvals.

Laurent Fabius s'est entretenue mardi avec Narendra Modi, le nouveau premier ministre indien. Pour vérifier les bonnes intentions de l'Inde sur de grands contrats prometteurs. 

"Tout est compliqué", c'est en trois mots le résumé du voyage du chef de la diplomatie française en Inde, le premier d'un ministre occidental auprès du nouveau gouvernement indien après les élections du printemps qui ont vu le BJP de Narendra Modi arriver au pouvoir.

Mais le premier constat positif de la délégation française est qu'au moins rien n'a été remis en cause. Et que tout espoir de finaliser ces contrats pour un montant pouvant dépasser les 25 milliards d'euros n'était pas perdu. Les nationalistes indiens qui ont succédé au Parti du Congrès n'entendent pas revoir ou redémarer à zéro les négociations sur les grands contrats en cours. Qu'il s'agisse de l'achat de plus d'une centaine d'avions Rafale, l'acquisition de deux centrales EPR ou l'achat d'hélicoptères de transport et de combat, un projet en attente depuis près de dix ans !

INFO LE POINT.FR. Jean-Yves Le Drian marie le groupe public Nexter avec l'allemand KMW pour bâtir le numéro un européen de l'armement terrestre.

Les groupes Nexter et KMW se marient pour bâtir le numéro un européen de l'armement terrestre (blindés et munitions). Sous l'égide de Jean-Yves Le Drian, ministre de la Défense, le groupe public Nexter (ex-GIATT) se rapproche de KMW, l'un des acteurs privés du marché allemand, à l'issue de 18 mois de négociations secrètes.

Nexter est un groupe à 100 % détenu par l'État qui emploie 2 700 personnes et réalise environ 800 millions d'euros de chiffre d'affaires. KMW, de taille équivalente, est détenu par la famille Bole. Dans la nouvelle entité qui pèsera environ 1,6 milliard d'euros, l'État français conserve 50 % et une "golden share" spécifique s'agissant de la filière "munitions". La famille Bole reste propriétaire de la moitié des actions.

KMW mettra ainsi sa forte capacité d'exportation au service des blindés français de Nexter, qui, en contrepartie, apportera à KMW sa capacité d'innovation, notamment portée par le programme Scorpion.

New Armscor chairman Vice Admiral (ret) Johannes Mudimu can call on expertise ranging from legal through to foreign investment as well as procurement and acquisition when he and his board members take decisions on acquisitions for the South African defence and security sector.

Former South African ambassador to France and UNESCO, Thuthukile Skweyiya, is Mudimu’s deputy on the new 10-strong Armscor board announced by Defence and Military Veterans Minister, Nosiviwe Mapisa-Nqakula, in May.

According to Armscor her tenure as ambassador to France saw “an unprecedented amount of foreign direct investment, including but not limited to, the SAA/Airbus contract, Pechiney, Alcatel and various empowerment projects in the South African wine industry”.

Bethuel Mobu brings to the Armscor board “depth and breadth in the procurement/acquisition environment”. He is currently General Manager: Tactical Procurement at Eskom and was previously group procurement specialist at the Airports Company of SA (ACSA) and Group Executive: Supply Chain Management at the SA Post Office. He currently chairs the State-owned Enterprise Forum and is a member of the Chartered Institute of Purchasing and Supply.

Legal expertise on the new Armscor board comes from advocates Virginia Lee Anne De la Hunt and Sesi Baloyi. De la Hunt is a practising advocate and member of the Cape Town bar while Baloyi is a member of the Victoria Mxenge Group of Advocates and a member of the Johannesburg Bar.

Raymond Vokwana was deputy director general of the Defence Service Commission and is now a businessman with interests in mining, manufacturing, ICT and financial services. According to Armscor he was also a senior manager at the National Intelligence Agency and the SA Secret Service.

Dr Moses Khanyile is currently General Manager: Strategy and Business Sustainment at ABSA. He was previously Chief Director: Strategic Planning at the Department of Defence and at the University of Stellenbosch’s Centre for Military Studies.

Ndumiso Tyibilika is a registered professional engineer who holds a Government Certificate of Competence (factories) and is a member of the SA Institute of Mechanical Engineers. He has previously worked at one of the Denel divisions in addition to holding positions at Eskom, Amcoal and Caltex.

The two remaining Armscor board positions are filled by Sipho Mkwanazi, who has been acting chief executive since November 2009, and chief financial officer, Gerhard Grobler.

Turkey was expected to announce the results of the long-awaited billion dollar long-range air and missile defense system tender yesterday. Instead, Ankara opted to delay its decision again, extending the deadline for the third time, expecting bids until August 30, 2104

Turkey’s Undersecretariat for the Defense Industry (SSM) was expected to make the final decision concerning the procurement of a multi-billion dollar long-range air and missile defense system tender, with European and Chinese firms in the running. Instead, Ankara opted to delay its decision again, extending the deadline for bids until August 30, Hürriyet Daily News reported. This is the third time Ankara has extended the deadline for revised offers.

Last September, the SSM executive committee chose China’s FD-2000 (HQ-9) long-range air and missile defense systems over Western competitors, including the Italian-French Eurosam’s SAMP/T Aster 30 systems. The Chinese manufacturer of the HQ-9 missile system, the state-run China Precision Machinery Import-Export Corporation (CPMIEC), offered a $3.4 billion high technology transfer. Turkish government officials announced they preferred the Chinese offer due to its competitiveness and potential for co-production in Turkey. the Turkish Daily Sabah reports.

France’s procurement agency (DGA) declared a new tender on May 16 for its Arme Individuelle Future (AIF) replacement programme to the armed forces FAMAS standard assault rifle.

A total of 90,000 weapons are to be purchased, comprised of 45,000 assault rifles and 45,000 carbines, all chambered in 5.56 mm x 45 NATO ammunition. The tender includes all additional accessories, spare parts, maintenance kits, and instruction and technical support, as well as the provision of under-barrel 40 mm grenade launchers, 38 million training cartridges, 21,000 training rounds, 92,000 40 x 46 low velocity grenades, 13,000 smoke grenades, and 51,000 dual purpose anti-personnel/anti-tank cartridges.

The tender requires the AIF standard to be integrated with the other aspects of the France’s FELIN future soldier system modernisation programme.

A deadline for submissions has been set for June 26, with decisions to be made ahead of the final contract issue in December of next year. Eligible rifles must be manufactured within the European Union or the European Economic Area.

En Suède aussi, on ne plaisante pas avec le patriotisme économique, comme l’a constaté à ses dépens ThyssenKrupp. Sous la pression du gouvernement suédois, le conglomérat allemand a dû se résoudre, dimanche soir, à vendre son chantier de construction de sous-marins en Suède au suédois Saab, pour 340 millions de couronnes suédoises. Soit seulement 37 millions d’euros pour une activité qui a généré 1,7 milliard de couronnes (185 millions d’euros) sur le dernier exercice 2012-2013 et un résultat d’exploitation de 34 millions de couronnes.

New developments for the production of electronic components based on the efficient semiconductor gallium nitride help to move the European defence industry towards independence. A multinational research and development project under the leadership of the European Defence Agency (EDA) has succeeded in implementing the entire supply chain for the realization of power electronics components based on gallium nitride within Europe.

With the optimization of development and manufacturing techniques for power electronics based on gallium nitride (GaN), researchers and industry partners from five European countries pursue the aim of producing high quality GaN-based electronic devices in Europe, without relying on international suppliers. Due to the high efficiency and robustness of the semiconductor, GaN-based power electronic components already replace established technologies, mainly in the fields of radar and broadband amplifiers.

 With respect to the increasing application of the efficient components in electronic defense and combat systems, the European defence industry is facing an increasing demand for the reliable supply of power electronic components. The technology is critical and will provide key enabling capabilities to a broad spectrum of Defence applications, reaching from advanced radar and communication  antennas to electronic warfare.

An independent supply chain in Europe

Guided by the European Defence Agency (EDA), leading research institutions, universities, as well as defence related companies from Germany, France, Italy, Sweden and the United Kingdom worked together during the past four years in the project MANGA (Manufacturable GaN-SiC-substrates and GaN epitaxial  wafers supply chain) in order to optimize gallium nitride technologies in Europe.

To facilitate an independent production of GaN-based electronic devices for military applications, it is necessary to implement the entire supply chain within Europe – reaching from the availability of Silicon Carbide (SiC) substrates for the epitaxial growth of gallium nitride, to the industrial manufacturing of High Electron Mobility Transistors (HEMT). In the scope of the project, GaN-based transistor layers were grown epitaxially on newly developed, high quality SiC-substrates. Applying established foundry processing, these transistor layers were finally used to produce fully European state-of-the-art High Electron Mobility Transistors. Both the quality of the SiC-substrates and the performance of the HEMT are comparable to equivalent benchmark-setting components produced in the United States.

Systems with increased reliability

Also in future projects, it will remain the goal of the EDA to further reduce the European defense industry’s dependence on international trade regulations. After having successfully realized the independent development and production of state-of-the-art transistors suitable for military applications, the project partners want to focus on the improvement of the reliability and material quality of the transistors. Results from universities participating in the project MANGA, where scientists studied the impact of variations in layer structures on the devices’ performance, will help to further optimize the HEMT-technology. In a follow-on project, the project partners want to achieve the qualification of an industrial European wafer supplier for state-of-the-art HEMT structures.

Israel's BlueBird Aero Systems has been awarded a contract to supply its MicroB small unmanned air system to an undisclosed NATO member in western Europe.

Already delivered to a number of customers around the world, the MicroB weighs approximately 1kg (2.2lb), has a 5.4nm (10km) communication range and an endurance of over 1h.

Capable of providing high-quality video and images and with automatic target tracking capabilities, the UAS can be deployed using a hand-launcher in a crowded urban environment, or even through a window.

BlueBird chief executive Ronen Nadir says the MicroB is already in service with various Special Forces operators and first responders, and to support security activities linked to strategic infrastructure.

L'industrie militaire russe sera en mesure de renoncer aux importations dans un délai de trois à cinq ans, a déclaré jeudi aux journalistes le ministre de l'Industrie et du Commerce Denis Mantourov.

"Nous avons fait des propositions pour organiser sur le territoire russe la fabrication des appareils que nous importons actuellement, notamment d'Ukraine", a fait savoir M.Mantouvrov.

"Nous nous sommes retrouvés dans une situation imprévue, et nous sommes à 100% dépendants des livraisons de turbines à gaz pour nos corvettes et navires de patrouille. A l'avenir, ces turbines seront construites dans l'usine Zvezda à Saint-Pétersbourg", a expliqué le ministre.

"Dans un délai allant de trois à cinq ans, nous serons en mesure de renoncer aux importations", a-t-il promis.

Et d'ajouter que le programme de substitution des importations devrait apporter à l'industrie russe des commandes supplémentaires pour environ 30 milliards de roubles (650 M EUR) par an.

La Marine russe recevra d'ici 2018 quatre dragueurs de mines dernier cri (projet 12700), le premier navire devant entrer en service en 2015, a annoncé jeudi le ministère russe de la Défense dans un communiqué.

Le dragueur de mines de nouvelle génération Alexandre Oboukhov, construit par  les chantiers navals Sredné-Nevski de Saint-Pétersbourg, sera mis à l'eau vendredi, selon le communiqué.

"Le dragueur de mines Alexandre Oboukhov est le navire amiral de la série. En avril 2014, le ministère de la Défense a signé un contrat de construction de trois navires de ce projet qui devraient être livrés d'ici 2016-2018", indique le communiqué.

Le dragueur de mines Alexandre Oboukhov est destiné à la Flotte russe du Nord et pourrait entrer en dotation fin 2015.

Long de 61 mères et large de 10 mètres, le navire a un déplacement de 890 tonnes. Sa vitesse est de 16,5 nœuds et l'équipage se compose de 44 personnes.

Pour lutter contre les mines, le navire est doté de divers types de dragues ainsi que d'appareils sous-marins téléguidés.
