Nexter buying ammunition producers in Italy and Belgium

The Nexter Group in France says it has reached an agreement with the Chemring Group to purchase ammunition manufacturers in Belgium and Italy.

VERSAILLES, France, April 24 -- The Nexter Group of France is strengthening its ammunition division with the acquisition of two ammunition manufacturers in Europe.

 

Agreements with the Chemring Group for the purchase of all shares of Mecar in Belgium and Simmel Difesa in Italy have been signed, but the deal still must obtain approval from Chemring shareholders and Italian regulators.

 

“Based on its solid past performance and on its strong balance sheet, Nexter has developed a growth strategy and intends, when opportunities arise, to actively participate in industry consolidation,” Nexter said. “The two acquisitions constitute a unique growth opportunity for Nexter Group, which will enrich its range of ammunition products in three domains -- land, air and sea ammunition -- and extend its commercial footprint on key export markets.”

 

Nexter said strengthening of its ammunition division will lead to accelerated development of new products and expansion of its customer base.

 

“I am very pleased with today’s news of this disposal, which is in line with our strategy of focusing on our core skills,” said Mark Papworth, chief executive of Chemring Group. “I am delighted that we have been able to sell these businesses to Nexter Group, who are well placed to maximize their full potential.”

 

The Chemring Group, a high technology company, is headquartered Britain.

Nexter Systems a signé avec le Groupe Chemring les contrats d’acquisition de 100% des titres des sociétés Mecar et Simmel Difesa le 23 avril 2014. Ces deux opérations permettront au Groupe Nexter de renforcer son pôle munitionnaire et d’établir sa position parmi les leaders européens dans ce domaine.

 

Fort d’un bilan solide et d’un modèle opérationnel ayant fait ses preuves depuis plusieurs années, le Groupe Nexter met en œuvre une stratégie de croissance externe ciblée. Avec cette opération, cette stratégie se concrétise aujourd’hui par l’enrichissement de sa gamme de produits dans les trois domaines - munitions terrestres, aéronautiques et navales – et l’extension de son empreinte commerciale au niveau international. Les acquisitions conjointes de Mecar et Simmel Difesa répondent à l’ensemble des critères visés, et constituent un facteur de croissance unique pour le Groupe Nexter.

 

Le pôle munitionnaire sera constitué de sociétés complémentaires, centrées sur leur cœur de métier, s’appuyant sur les compétences de leurs salariés, et bénéficiant des synergies rendues possibles par leur appartenance au Groupe Nexter.

 

Ce renforcement du pôle munitionnaire permettra le développement accéléré de nouveaux produits et l’élargissement de la base clients ; l’outil de conception et de fabrication de munitions se trouvera également renforcé.

 

« Cette étape importante ouvre de nouvelles perspectives et confirme le rôle clé du groupe dans une dynamique de consolidation européenne » a déclaré Philippe Burtin, Président Directeur-général de Nexter Systems.

 

Mark Papworth, Président Directeur-général du Groupe Chemring a rajouté : «Je suis heureux de cette annonce qui est cohérente avec notre stratégie de nous concentrer sur notre cœur de métier. Je me réjouis de l’acquisition de ces activités par le Groupe Nexter qui est très bien placé pour optimiser les perspectives de Mecar et Simmel Difesa. »

 

La réalisation des acquisitions reste sujette à la levée des conditions suspensives, dont notamment l’accord des actionnaires de Chemring et l’approbation des autorités italiennes.

Nexter Scoops Up Chemring's European Munitions Operations

Changin Focus: Munitions maker Chemring has shed its European ammunition business to Nexter.

LONDON — Chemring has sold its European munitions business to French armaments producer Nexter Systems in a deal that could net the British-based company up to £138 million (US $231.9 million).

 

The proposed sale will see Chemring’s Mecar ammunition operation in Belgium and the Simmel facilities in Italy pass into the hands of the French state-owned munitions, armored vehicle and artillery supplier.

 

The two operations, best known for the production of mortar and medium- and large-caliber ammunition, were purchased by Chemring between 2007 and 2010 as part of a six-year acquisition binge in its prime UK and US markets.

 

Their sale is part of a strategic review of the business undertaken last year by the then new CEO Mark Papworth.

 

The review, and the installation of the new CEO, was prompted by deteriorating performance at the British-based company, which had triggered several profit warnings.

 

“The sale of our European munition business implements a key recommendation of our strategic review and represents a significant milestone as we reposition Chemring for future growth. It not only enables us to strengthen our balance sheet through the reduction of net debt, but also provides us with the flexibility to invest in our core technologies,” said Papworth.

 

The two ammunition companies required high levels of working capital and were operating in a very competitive, volatile market dominated by international players, the Chemring CEO said.

 

In a statement, Nexter said the two acquisitions “constituted a unique growth opportunity for Nexter, which will enrich its products in land, sea and air ammunition and extend its commercial footprint in key export markets.”

 

The companies sell into NATO and non-NATO markets and Mecar, in particular, has a strong business base in the Middle East.

 

Philippe Burtin, chairman and CEO of Nexter Systems, said the acquisition “confirms the key role of the group in the momentum of European consolidation.”

 

Nexter is already a significant player in the medium caliber, artillery and tank ammunition markets.

 

Papworth said the munitions sale would allow Chemring to focus its efforts on core defense technology activities.

 

The company, which saw sales tumble 15 percent in 2013 to £624 million compared with the previous year, is a leading producer of counter-IED, missile countermeasures and sensors and electronics systems.

 

Reductions in defense spending in its biggest markets, particularly the US, and production problems at some of its manufacturing facilities were largely behind the performance problems.

 

Last year, Chemring’s European munitions business generated sales of £152 million and reported operating profits of £16.8 million. That compares with £206 million sales and £27 million operating profit the previous year

 

As a result, the Pyrotechnics and Munitions business unit of which Mecar and Simmel are a part saw revenues plunge 19.6 percent to £200 million in 2013.

 

Chemring retains a very small presence in the munitions market as Chemring Ordnance in the US will continue to make small caliber ammunition and 40mm grenade launched ammunition.

 

This business, along with Chemring Defence UK, is being folded into Energetic Systems so the company’s Pyrotechnics and Munitions unit will cease to exist once the sale goes through.

 

The company also announced that Chemring Defence Germany is being sold for €2.75 million (US $3.8 million). The identity of the buyer is not known at this stage.

    Collaborative system to protect ships against swarming-boat threat

 

Raytheon Company (NYSE: RTN), acting through its Missile Systems business, and Chemring Group (LSE: CHG), acting through Chemring Countermeasures, successfully fired a Javelin missile from the multirole CENTURION® launcher during testing at the Defence Training Estate on Salisbury Plain in England.

 

"We're bringing an entirely new dimension to ship self-defense by providing a sea-based, inside-the-horizon platform protection," said Rick Nelson, vice president of Raytheon Missile Systems' Naval and Area Mission Defense product line. "Chemring's CENTURION launcher, when coupled with Raytheon's combat-proven missiles, offers an evolutionary capability to defeat surface threats with this One System-Multiple Missions technology."

Chemring Technology Solutions (CTS) has developed a lightweight variant of its Resolve manpack electronic warfare (EW) system for on-the-march military operations.

 

Weighing 22lbs, the newly launched system provides an alternative EW system to the standard Resolve manpack, which provides dismounted soldiers with advanced signals analysis enabling multiple mission profiles.

 

In addition, the system readily fits into a standard daysack, offering more flexible EW capabilities to exploit several communications systems.

 

CTS business sector manager, Gavin O'Connell, said the company's original Resolve system provides a high level of direction-finding capability for dismounted missions that cannot be delivered by other EW systems.

 

''The Resolve lightweight manpack system builds on this by meeting our customers' increasing demand for smaller, portable solutions that reduce thesoldiers' burden and provide more effective support for on-the-march EW operations,'' O'Connell said.

 

Despite a significant weight and size reduction, the system still offers immediate threat warning, electronic overwatch and single sensor location from a single battery for up to eight hours, and can also be networked to other static or mobile systems in the theatre.

 

Due to its simple interface, Resolve lightweight system can easily access vital functions to deliver immediate support in a range of operational environments, including close-quarter, long-range patrol or stand-off missions.

 

The system is scheduled to be displayed during the 2013 Defence Security and Equipment International (DSEi) exhibition, which will be held from 10 to 13 September in the ExCeL convention centre, London.

 

Fitted with one or more, intercept and direction finding nodes, Resolve is a modular and scalable EW suite designed for the interception and geolocation of tactical communications.

Chemring Technology Solutions Launches a New Timer-based Explosives Initiator

Chemring Technology Solutions today launches PED Mk2, the successor to its world leading PED100 timer-based programmable explosives initiator.

 

PED Mk2, which has a countdown range from 1 minute to 30 days, is a third of the weight of the PED100 system it replaces and now includes an integrated programmer. The integrated programmer allows the timer to be set in the field to allow greater operational flexibility. Its capability is also enhanced as it can now survive immersion to a depth of 30 meters. The PED Mk2 can be used to support operations that include general combat demolitions, ammunition disposal and underwater mine clearance.

 

Despite its reduced size and weight, PED Mk2 has greater firing energy (1.5 joules) and a higher countdown resolution of one second which allows for accurate synchronisation of multiple detonations. The small size and near silent emissions profile of PED Mk2 also reduces the probability that the timer will be discovered. If discovered, removal of the tear-off keypad makes it impossible to re-programme or repurpose the device.

 

Mike Luedicke, General Manager of Chemring Technology Solutions in Poole, said: "PED Mk2 has been developed to improve mission efficiency by minimising training needs and delivering a more flexible and precise timing system. As it does not require a separate programming device, it allows the user, such as military engineers, to rapidly set custom time delays at the point of deployment."
